1. Agreement to Terms

By accessing or using the EZ-Bot platform at ez-bot.ai ("Service"), operated by EZ-Bot ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

EZ-Bot reserves the right to update these Terms at any time. We will notify registered users of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, your sole remedy is to stop using the Service and cancel your account.

2. Description of Service

EZ-Bot is a software-as-a-service (SaaS) platform that provides AI-powered chatbot solutions for businesses. The Service includes:

  • An embeddable AI chatbot widget for your website
  • A knowledge base system for training your chatbot on your business content
  • A dashboard for managing your chatbot, viewing analytics, and capturing leads
  • Website crawling to automatically build your chatbot's knowledge base
  • Webhook and API integrations

The Service is a tool that generates responses based on content you provide. EZ-Bot does not guarantee any specific business outcomes, lead generation results, customer satisfaction improvements, or return on investment from using the Service.

3. Accounts and Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account, whether or not authorized by you
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your use of the Service complies with all applicable laws in your jurisdiction

You must be at least 18 years old to create an account. By registering, you represent that you have the legal authority to bind yourself or your business to these Terms. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Plans and Pricing

EZ-Bot offers subscription plans with varying features and limits. Plan details and pricing are displayed on our website and may be updated from time to time with reasonable notice to active subscribers.

All prices are in US Dollars (USD). Subscriptions are billed on a recurring monthly basis through our payment processor, Lemon Squeezy, which acts as the Merchant of Record for all transactions. EZ-Bot is not responsible for any fees, currency conversion charges, or taxes imposed by your payment provider or jurisdiction.

5. Free Trial

EZ-Bot offers a 14-day free trial for new users. During the trial period:

  • You receive full access to Starter plan features at no charge
  • No payment information is required to start a trial
  • You may cancel at any time during the trial with no obligation
  • If you do not subscribe to a paid plan before the trial ends, your account will be deactivated

Each email address is limited to one free trial. Free trials are subject to a valid trial code. We reserve the right to modify or discontinue the free trial at any time without notice.

6. Billing and Payment

All payments are processed by Lemon Squeezy. By subscribing to a paid plan, you authorize recurring charges to your selected payment method. Lemon Squeezy handles all billing, invoicing, taxes, and payment disputes as the Merchant of Record.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Distribute malware, spam, or harmful content through your chatbot
  • Infringe on the intellectual property rights of others
  • Upload illegal, defamatory, obscene, or tortious content to your knowledge base
  • Attempt to gain unauthorized access to other users' accounts, data, or our systems
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service
  • Use the Service to build a competing product or service
  • Exceed your plan's usage limits through automated or abusive means
  • Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure
  • Scrape, crawl, or harvest data from the Service beyond your own account data
  • Use the chatbot to provide professional advice (medical, legal, financial, etc.) without appropriate disclaimers and professional oversight
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service to collect personal data from end users in violation of applicable privacy laws

EZ-Bot reserves the right to suspend or terminate accounts that violate these terms, with or without notice, and without refund.

8. Your Content and Responsibility for End Users

You retain ownership of all content you upload to the Service, including documents, website content, custom responses, and configurations ("Your Content"). By uploading content, you grant EZ-Bot a limited, non-exclusive license to process, store, and use Your Content solely to provide the Service.

You are solely responsible for:

  • Ensuring you have all necessary rights, licenses, and permissions to upload and use all content
  • The accuracy, legality, and appropriateness of Your Content
  • All interactions between your chatbot and your website visitors (end users)
  • Informing your end users that they are interacting with an AI-powered chatbot, not a human
  • Complying with all applicable privacy laws regarding data collected from your end users through the chatbot (including GDPR, CCPA, and other applicable regulations)
  • Providing your own privacy policy and terms of service to your end users as required by law
  • Reviewing and validating your chatbot's responses for accuracy and appropriateness

EZ-Bot does not claim ownership of Your Content and will not use it for purposes other than providing the Service to you. We may remove any content that we believe violates these Terms or applicable law.

9. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate chatbot responses based on content you provide. You acknowledge and agree that:

  • AI-generated responses may be inaccurate, incomplete, misleading, or inappropriate despite best efforts
  • EZ-Bot does not review, verify, endorse, or guarantee the accuracy of any AI-generated response
  • You are solely responsible for monitoring, reviewing, and validating your chatbot's behavior and output
  • AI-generated responses do not constitute professional advice of any kind (legal, medical, financial, or otherwise)
  • EZ-Bot shall not be liable for any decisions made or actions taken by you or your end users based on AI-generated responses
  • The quality of chatbot responses depends on the quality and completeness of the content you upload to your knowledge base

You agree to indemnify and hold EZ-Bot harmless from any claims arising from your chatbot's responses to your end users.

10. Data and Privacy

EZ-Bot collects and processes data necessary to provide the Service, including:

  • Account information (email, company name)
  • Knowledge base content you upload
  • Chat conversations between your visitors and your chatbot
  • Lead information captured through your chatbot widget
  • Usage analytics and statistics

We do not sell your data to third parties. Chat conversations are processed through our AI infrastructure and are not shared across accounts. Each client's data is isolated.

You acknowledge that chat data is processed by third-party AI models and infrastructure, and you consent to such processing. While we implement reasonable security measures, no system is completely secure, and we cannot guarantee the absolute security of your data. You are responsible for maintaining your own backups of critical content.

11. Intellectual Property

The Service, including all software, design, text, graphics, interfaces, and underlying technology, is owned by EZ-Bot and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it as described herein.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part thereof. The EZ-Bot name, logo, and all related marks are trademarks of EZ-Bot.

We respect the intellectual property rights of others. If you believe that content on the Service infringes your copyright, please contact us at [email protected] with: (a) a description of the copyrighted work, (b) the location of the infringing content, (c) your contact information, and (d) a statement of good faith belief that the use is unauthorized.

12. Third-Party Services

The Service may integrate with or rely on third-party services, including but not limited to payment processors (Lemon Squeezy), email providers (Brevo), webhook destinations (Discord, Slack), and AI model providers. EZ-Bot is not responsible for:

  • The availability, accuracy, or reliability of any third-party service
  • Any data processing performed by third-party services you connect to
  • Any loss or damage arising from your use of third-party integrations
  • Changes to third-party services that may affect the functionality of the Service

Your use of third-party services is governed by their respective terms and policies. You are responsible for reviewing and complying with those terms.

13. Service Availability

EZ-Bot strives to maintain high availability but does not guarantee uninterrupted, timely, or error-free service. We may perform maintenance, updates, or experience outages at any time. We are not liable for any losses, damages, or inconvenience resulting from service interruptions, regardless of cause.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify active subscribers of material changes.

14. Indemnification

You agree to indemnify, defend, and hold harmless EZ-Bot, its owners, operators, affiliates, officers, agents, and employees from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service or any activity under your account
  • Your Content or any content generated by your chatbot
  • Any interaction between your chatbot and your end users
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party right
  • Any claim by a third party related to your chatbot's responses, including claims of misinformation, defamation, negligence, or professional malpractice
  • Your failure to comply with applicable privacy laws in collecting end-user data
  • Any unauthorized use of your account credentials

This indemnification obligation survives termination of your account and these Terms.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EZ-BOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Cost of procurement of substitute services
  • Damages resulting from AI-generated content or chatbot responses
  • Damages resulting from unauthorized access to or alteration of your data
  • Damages resulting from service interruptions or downtime
  • Any damages arising from third-party services or integrations

IN NO EVENT SHALL EZ-BOT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE LESSER OF: (A) THE TOTAL AMOUNT YOU PAID TO EZ-BOT IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF EZ-BOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. EZ-BOT EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • ANY WARRANTY THAT AI-GENERATED CHATBOT RESPONSES WILL BE ACCURATE, COMPLETE, RELIABLE, OR ERROR-FREE
  • ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE OF VIRUSES OR BUGS
  • ANY WARRANTY REGARDING THE RESULTS OBTAINED FROM USING THE SERVICE
  • ANY WARRANTY REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE

YOU ACKNOWLEDGE THAT AI CHATBOT RESPONSES ARE GENERATED ALGORITHMICALLY BASED ON YOUR UPLOADED CONTENT AND MAY NOT ALWAYS BE ACCURATE. YOU USE THE SERVICE AND RELY ON AI-GENERATED CONTENT ENTIRELY AT YOUR OWN RISK.

17. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through the Service. EZ-Bot may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms
  • Suspected fraudulent, abusive, or illegal activity
  • Non-payment of fees
  • Upon request by law enforcement or government agencies
  • Extended periods of inactivity
  • Discontinuation of the Service or any part thereof

Upon termination, your right to use the Service ceases immediately. Your data may be deleted after a reasonable retention period (typically 30 days). We are under no obligation to maintain or forward any data from your account. See our Cancellation Policy for details on what happens when you cancel.

Sections 8, 9, 11, 14, 15, 16, 19, 20, and 21 survive termination of these Terms.

18. Force Majeure

EZ-Bot shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, power outages, internet or telecommunications failures, cyberattacks, third-party service outages, government actions, or strikes. During such events, our obligations under these Terms are suspended for the duration of the event.

19. Dispute Resolution and Arbitration

Informal Resolution: Before filing any formal proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration: If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered under the rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator, in the English language, and the decision shall be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.

CLASS ACTION WAIVER: YOU AND EZ-BOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Injunctive Relief: Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

20. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

21. General Provisions

Entire Agreement: These Terms, together with our Cancellation Policy and any other policies referenced herein, constitute the entire agreement between you and EZ-Bot regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver: The failure of EZ-Bot to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by EZ-Bot.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. EZ-Bot may assign these Terms without restriction.

No Agency: No agency, partnership, joint venture, or employment relationship is created between you and EZ-Bot as a result of these Terms.

Notices: EZ-Bot may provide notices to you via the email address associated with your account. You are responsible for keeping your email address current.
